Hardware / Subscription / Remote Management Addendum

1. Purpose
This Hardware / Subscription / Remote Management Addendum ("Addendum") applies where SpiceRouter hardware, software subscriptions, and remote management services are sold or provided together. It supplements and forms part of the SpiceRouter Terms of Service(the "Terms"). Capitalized terms not defined here have the meanings given in the Terms.
2. Hardware Platform
Device description
SpiceRouter Devices are preconfigured router appliances running SpiceRouter Firmware (based on VyOS). Devices provide routing, firewall, Wi-Fi access point, DNS Filtering, and remote management capabilities when connected to the internet and registered with the Management Portal.
Manufacturing
Physical hardware may be manufactured by SpiceRouter or by a third-party OEM or contract manufacturer. Unless otherwise stated in writing, the hardware chassis is distinct from the SpiceRouter software, Firmware, Management Portal, and recurring services.
Specifications
Hardware specifications (including processor, memory, storage, wireless capabilities, Ethernet ports, and supported standards) are described on the product page or order documentation applicable to the Device model. Specifications may vary between hardware revisions. SpiceRouter reserves the right to update hardware specifications for future production units.
3. Regulatory Compliance
SpiceRouter Devices comply with applicable radio frequency and electromagnetic compatibility regulations for the markets in which they are sold, including:
- Canada: Innovation, Science and Economic Development Canada (ISED) regulations.
- United States (if applicable): Federal Communications Commission (FCC) regulations.
Customer must not modify the Device's radio frequency characteristics, antenna configuration, or transmission power beyond settings available through the Management Portal. Unauthorized modifications may void regulatory compliance and the hardware warranty.
SpiceRouter Devices are intended for indoor use unless the product documentation expressly states otherwise.
4. Subscription-Dependent Functionality
Certain features of the Service depend on an active subscription and a working internet connection.
Available without subscription (basic Device functionality)
- Layer 3 routing and firewall (using last-applied configuration)
- Wi-Fi access point (using last-configured SSIDs and passwords)
- Local DNS caching (dnsmasq, using last-configured settings)
- Wired Ethernet connectivity
Requires active subscription
- Remote monitoring and Management Portal access
- Dashboard views, alerts, and notifications
- DNS Filtering management and blocklist updates
- Firmware updates and security patches
- Configuration backup and restore
- VPN management through the Management Portal
- Security event logging and analysis
- Integration support (Slack, webhooks, etc.)
- API access
- Multi-site management
- Technical support
If a subscription expires, lapses, or is terminated, subscription-dependent features will be disabled or downgraded. The Device will continue to provide basic routing and Wi-Fi functionality using its last-applied configuration, where technically feasible.
SpiceRouter will use reasonable efforts to ensure that subscription expiry does not render the Device non-functional for basic networking purposes.
5. Remote Management and Updates
Authorization
Customer authorizes SpiceRouter to provide Remote Management services as described in the Terms (Section 12), including remote firmware updates, security patches, configuration changes, diagnostics, and support actions delivered through secure, encrypted channels (Cloudflare Tunnels, WireGuard VPN).
Routine updates
Routine firmware updates and configuration changes will be delivered with reasonable advance notice where practicable, through the Management Portal, email, or in-app notification.
Emergency updates
Critical security patches and vulnerability mitigations may be deployed without advance notice where delay would create material security risk to Customer's network or to the SpiceRouter platform.
Enterprise change management
Enterprise customers may negotiate specific change management procedures, maintenance windows, and approval requirements in a separate enterprise agreement.
Customer responsibility
Customer remains responsible for local network conditions, downstream devices, physical Device security, and the consequences of any configuration changes Customer applies through the Management Portal.
6. Shipping, Risk, and Acceptance
Shipping
Unless otherwise stated in writing, SpiceRouter ships Devices via standard commercial carriers. Shipping costs and delivery timeframes are specified at the time of order.
Risk of loss
Title and risk of loss for sold hardware transfer to Customer upon delivery to the carrier (FOB shipping point), unless a different arrangement is specified in the order documentation.
International shipping
For orders shipped outside Canada, Customer is responsible for any applicable customs duties, import taxes, brokerage fees, and compliance with local import regulations.
Inspection and acceptance
Customer is responsible for promptly inspecting delivered hardware and reporting any shipping damage, missing items, or material defects within fourteen (14) days of delivery. Claims for shipping damage should be reported to both SpiceRouter and the carrier.
7. Hardware Warranty
Warranty period
SpiceRouter provides a limited hardware warranty for a period of one (1) year from the date of delivery ("Warranty Period").
Coverage
During the Warranty Period, SpiceRouter warrants that the Device will be free from material defects in materials and workmanship under normal use conditions.
Exclusions
This warranty does not cover:
- (a) physical damage, including drops, impacts, crushing, or liquid/moisture damage;
- (b) damage caused by power surges, lightning, or improper electrical connections;
- (c) damage caused by unauthorized modification, disassembly, or repair;
- (d) damage caused by use outside the Device's intended operating conditions (temperature, humidity, ventilation);
- (e) normal wear and tear, including cosmetic damage that does not affect functionality;
- (f) software, Firmware, or configuration issues (which are addressed through the Service, not the hardware warranty);
- (g) damage caused by use with incompatible accessories or equipment; or
- (h) Devices purchased from unauthorized resellers.
Warranty claim process
- Contact SpiceRouter support with a description of the defect, the Device serial number, and proof of purchase.
- Obtain a Return Merchandise Authorization (RMA) number from SpiceRouter.
- Ship the defective Device to SpiceRouter at Customer's expense, using the RMA number for identification.
- SpiceRouter will, at its option, repair or replace the defective Device within a commercially reasonable timeframe.
Return shipping for repaired or replacement Devices will be at SpiceRouter's expense (standard shipping within Canada; additional charges may apply for international returns).
Except as expressly set out in this section, and to the maximum extent permitted by law, SpiceRouter provides no additional warranties, express or implied, with respect to hardware, including warranties of merchantability or fitness for a particular purpose.
8. Returns
Unopened Devices
Devices that are unused and in original, unopened packaging may be returned within thirty (30) days of delivery for a full refund of the hardware purchase price.
Opened / Defective Devices
Devices that have been opened but are materially defective (manufacturing defect apparent on first use) may be returned within fourteen (14) days of delivery. Customer must contact support and obtain an RMA number.
Non-defective opened Devices
Devices that have been opened and are not defective may be returned within fourteen (14) days of delivery, subject to a restocking fee of up to 15% of the hardware purchase price. Devices must be in original condition with all accessories.
Subscription refunds
Subscription fees associated with a returned Device will be prorated and refunded for the unused portion of the subscription period, if prepaid.
Return shipping
Customer is responsible for return shipping costs unless the return is due to a manufacturing defect or SpiceRouter error.
9. Data and Telemetry
Operational Telemetry Data, Device metadata, diagnostics, and management logs may be processed as part of the SpiceRouter service experience, subject to the SpiceRouter Privacy Policy and any enterprise agreement. See the Privacy Policy for details on what data is and is not collected from Devices.
10. End-of-Life Policy
Hardware end-of-life
SpiceRouter may designate a Device model as end-of-life ("EOL") when it is no longer manufactured or when hardware limitations prevent continued feature development.
SpiceRouter will provide at least twelve (12) months' notice before discontinuing active support for a Device model. During the EOL transition period:
- Security patches and critical stability fixes will continue to be provided.
- New features may not be developed for the EOL model.
- Technical support will remain available at the current plan level.
After the EOL date:
- The Device will continue to function using its last-applied configuration (basic routing, Wi-Fi, and local DNS caching).
- Management Portal features may be limited or unavailable.
- No further firmware updates or security patches will be provided.
Firmware end-of-life
SpiceRouter may deprecate specific Firmware versions with reasonable notice. Customer may be required to update Firmware to continue receiving Remote Management features and security patches.
11. Device Disposal and Transfer
Factory reset
Before disposing of, selling, transferring, or returning a SpiceRouter Device, Customer must perform a factory reset to remove all configuration data, credentials, and network settings. Instructions for performing a factory reset are available in the SpiceRouter support documentation or upon request.
Transfer to a new owner
If Customer transfers a Device to a new owner, Customer must: (a) perform a factory reset; (b) deregister the Device from Customer's account through the Management Portal; and (c) inform the new owner that they will need their own SpiceRouter account and subscription to use management features.
Electronic waste disposal
Customer is responsible for disposing of electronic waste in accordance with applicable local, provincial, and federal regulations. SpiceRouter Devices contain electronic components and should not be disposed of in regular household waste where prohibited by law.
12. Service Discontinuation
If SpiceRouter discontinues the managed service platform entirely:
- (a) Customer will receive at least six (6) months' advance written notice.
- (b) SpiceRouter will use commercially reasonable efforts to transition Devices to a standalone configuration that preserves basic routing and Wi-Fi functionality without ongoing management.
- (c) Where technically feasible, SpiceRouter will provide Customer with documentation or tools to manage the Device independently.
- (d) Prepaid subscription fees for the discontinued service period will be refunded on a prorated basis.
13. Priority of Documents
If there is a conflict between this Addendum and the base Terms of Service, this Addendum governs with respect to bundled hardware, subscription, and remote management issues. If there is a conflict between this Addendum and an enterprise agreement, the enterprise agreement governs.
